1. Definitions
“We”, “Us”, “Our” refers to E and M Roofing and Construction Ltd, trading as E M Roofing.
“You”, “Client” refers to the customer or property owner agreeing to the quotation and engaging our services.
“Contract” means the legally binding agreement between E M Roofing and the Client once a quotation is accepted in writing or a deposit is paid.
2. Scope of Work
All work will be carried out in accordance with the details set out in the written quotation or specification provided to the Client.
Any drawings, images, or descriptions are for illustrative purposes and do not form part of the contract unless specifically stated.
3. Quotations & Acceptance
Quotations are valid for 30 days from the date of issue unless otherwise stated.
Acceptance of the quotation, either in writing (including by email or message) or by paying a deposit, forms a legally binding contract.
Any variation to the agreed specification must be confirmed in writing and may result in additional costs.
4. Deposits & Payments
A deposit is payable before work commences. The amount will be specified in the quotation or invoice.
Payment of the deposit indicates acceptance of these Terms of Business.
Interim payments may be required for longer projects, based on work completed or materials supplied.
The final balance is due immediately upon completion, unless otherwise agreed in writing.
We reserve the right to withhold guarantees or documentation until full payment has been received.
5. Cooling-Off Period (Consumer Contracts Regulations 2013)
If you are a domestic (residential) customer, you have a 14-day cooling-off period from the date you accept our quotation or pay a deposit.
Important:
If you request that work begins within the 14-day cooling-off period, you acknowledge and agree that you may lose your right to cancel once work or material ordering begins.
If you cancel after work or material procurement has begun, you will be charged for labour, materials, and administrative costs incurred up to that point.
We will provide you with a “Start Work Consent” form to confirm this agreement before work begins.
6. Materials & Ownership
All materials remain the property of E M Roofing until full payment is received.
We reserve the right to remove materials and equipment from site in the event of non-payment.
Once paid in full, ownership of the materials passes to the Client.
7. Access & Site Conditions
The Client must provide clear and safe access to the property for vehicles, scaffolding, and workers.
Any delays caused by restricted access, hazards, or interference may result in additional charges.
The Client is responsible for obtaining any necessary permissions, permits, or approvals (unless otherwise agreed).
8. Variations & Additional Work
Any changes or additions requested by the Client after work begins must be agreed in writing and may incur extra cost and extended completion time.
If hidden or unforeseen issues are discovered (e.g., rotten timbers, asbestos, structural problems), we will inform the Client immediately and agree any revised costs before proceeding.
9. Delays & Force Majeure
While every effort is made to complete work on time, delays may occur due to:
Adverse weather
Supplier shortages or delivery delays
Illness or unforeseen circumstances
We will not be held liable for delays outside our reasonable control, and revised completion dates will be agreed as necessary.
10. Workmanship & Warranties
All roofing work is carried out to recognised industry standards by competent tradespeople.
New roof installations are covered by up to a 20-year workmanship warranty, subject to proper maintenance and normal wear.
Flat roof systems may carry shorter warranties depending on material type.
Manufacturer warranties apply to materials supplied.
Damage caused by storms, neglect, or third parties is not covered under the workmanship warranty.
11. Insurance
E M Roofing maintains Public Liability Insurance of at least £5,000,000. Proof of cover is available on request.
Clients are advised to ensure their own property insurance covers building works during the project.
12. Site Safety & Conduct
We operate under the Construction (Design and Management) Regulations 2015 to ensure safe working practices. Clients and third parties must not interfere with ongoing work or equipment.
Any pets, valuables, or vehicles should be removed from work areas prior to commencement.
13. Property Protection
We take reasonable care to protect surrounding property, but cannot be held responsible for unavoidable disturbance to gardens, driveways, or landscaping caused by scaffolding, vehicles, or waste removal.
14. Waste Removal
Unless otherwise stated, the price includes removal and lawful disposal of roofing waste and materials. If waste disposal is excluded, this will be stated clearly on the quotation.
15. Snagging & Completion
Minor defects or snagging issues should be reported in writing within 14 days of completion.
We will rectify any verified issues within a reasonable timeframe.
16. Cancellations & Termination
We may suspend or terminate work if:
The Client fails to make agreed payments, or
Site conditions become unsafe or unsuitable.
In such cases, the Client will be invoiced for all completed work, materials, and costs up to the suspension date.
17. Limitation of Liability
E M Roofing will not be liable for:
Consequential or indirect losses
Delays beyond our control (e.g., weather or supplier issues)
Damage caused by pre-existing faults or external trades
Our total liability shall not exceed the contract price.
18. Dispute Resolution
We aim to resolve all disputes amicably.
If an issue arises, please contact us in writing at sales@emroofingandconstruction.com.
If unresolved, disputes may be referred to Trading Standards or resolved through mediation or small claims court under English law.
19. Governing Law
These Terms are governed by and interpreted in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the English courts.
